Waitlist Terms & Conditions

1. Eligibility

The waitlist is open to individuals 18 or older who are signing up as a genuine prospective user, or the parent or legal guardian of one. If you are signing up on behalf of your family, you represent that you are a parent or legal guardian. You represent that you are not signing up on behalf of, or affiliated as an employee, contractor, consultant, or agent of, any business that competes with Okee, unless we have given prior written consent. This waitlist does not collect information about your children; the Okee platform itself has separate Terms of Service and its own parental-consent process for any account used by a minor.

2. Description of the Waitlist

Joining the waitlist registers your interest in Okee and lets us notify you about availability, beta access, and product updates. It is not a purchase, a subscription, a contract to deliver the product by any date, or a guarantee of access. We reserve the right to modify, suspend, reorder, or discontinue the waitlist at any time, with or without notice.

3. User Conduct

You agree NOT to:

• Impersonate another person, or misrepresent your identity, affiliation, or purpose in registering for the waitlist
• Submit false, misleading, or another person's contact information
• Sign up, or cause someone else to sign up, on behalf of a business that competes with Okee, in order to access non-public product, pricing, roadmap, or partner information
• Use bots, scripts, or other automated means to register, or register multiple times to manipulate queue position or referral mechanics
• Attempt to gain unauthorized access to our systems, beta builds, or any non-public part of our platform
• Reverse engineer, decompile, or disassemble any component of the service, or scrape or systematically extract content from the waitlist page
• Harass or abuse Okee, our staff, or another user
• Use your waitlist registration or any information obtained through it for any commercial purpose, including to build, market, or promote a competing product or service

We may remove any entrant from the waitlist, or rescind any invitation, without notice, if we reasonably believe any of the above has occurred or that you are not a genuine prospective family user.

4. Confidentiality

Any non-public information we share with you as a waitlist member, including beta features, screenshots, roadmap details, pricing, or early-access invitations ("Waitlist Confidential Information"), is confidential. You agree not to disclose, publish, or share Waitlist Confidential Information outside your own household, and not to use it for any competitive purpose, without our prior written consent. This section survives your removal from the waitlist or the waitlist closing.

5. Information We Collect and Use

We collect the email address, and any other information, you submit through the waitlist form. We use it to manage your waitlist position, contact you about beta access and launch, and, only if you separately opt in, send product updates. Full detail on what we collect, how long we keep it, and your rights is in our Privacy Policy. We do not sell your waitlist information. We use reasonable administrative, technical, and physical safeguards to protect it, consistent with the Data Security practices described in our Privacy Policy, but no method of transmission or storage is 100% secure.

6. Email Communications

By joining, you'll receive transactional emails about your waitlist status. If you separately opt in, you'll also receive product and marketing updates; you can opt out of marketing communications at any time via the link in any marketing email or by contacting privacy@okee.app. Opting out of marketing email does not remove you from the waitlist or stop status and transactional messages.

7. Intellectual Property

All content, features, and functionality of the waitlist page and any waitlist communications, including text, graphics, logos, and software, are the exclusive property of Offline Technologies, Inc. and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the waitlist page for personal, non-commercial purposes. This license does not include any right to copy, modify, distribute, or create derivative works.

8. Disclaimers and Limitation of Liability

The waitlist and any related communications are provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that joining the waitlist will result in access to Okee, or that any features described before launch will be available at launch.

To the maximum extent permitted by law, Offline Technologies, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your participation in the waitlist.

9. Indemnification

You agree to indemnify and hold harmless Offline Technologies, Inc., its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses, including legal fees, arising from your use of the waitlist, violation of these Waitlist Terms, or violation of any rights of another.

10. Termination

We may remove you from the waitlist immediately, without prior notice, for:

• Violation of these Waitlist Terms
• Fraudulent or illegal activity
• Suspected impersonation, misrepresentation of identity or affiliation, or competitive use of waitlist access

You may withdraw from the waitlist at any time by contacting us.

11. Dispute Resolution and Arbitration

Any disputes arising from these Waitlist Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to participate in class actions or class arbitrations. This arbitration provision does not apply to disputes that may be brought in small claims court.

12. Governing Law

These Waitlist Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify these Waitlist Terms at any time. Continued participation in the waitlist after an update means you accept the revised terms.

14. Severability

If any provision of these Waitlist Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
